Caliber accesses a network of private non-bank lenders and Private Equity investors to source capital for client engagements.

This process has been developed over many years. This experience allows Caliber to source money from specific pools of capital that fit the nature, term, and structure of client transactions.

Many of these lending/capital firms have very specific operating mandates disclosed in their fund-raising documents. We have found the best process is to line up an “apple financing need” with an “apple financing supplier”. To be clear, these lenders are not alike and the key to getting a deal is to go to the right source.

The engagement process is very specific because our solicitation will be one of many and we must create clear, concise, and appropriate solicitation documents to get a capital source’s attention.

Caliber does not issue private or public securities. However, if that is an appropriate and viable solution, we can work with the Caliber client and refer in an investment bank that does specialize in Reg D, Reg A or other securities appropriate for a middle market company.

Mergers & Acquisition Advisory

The Caliber process has a focus on strategic versus financial transactions. It is our experience that middle market companies do not offer the scale needed to attract viable financial buyers.

Caliber has years of buy/sell experience. This experience is both inside a Chapter 11 as a 363 transaction or outside as a more normal deal.

Operating successfully within Chapter 11 requires specific knowledge and processes to navigate the legal and business requirements of a court directed transaction.

We believe if outside of Chapter 11 it may take as along as a year to get the company ready to sell. This process has a focus on numbers and contractually tying up loose ends in an effort to remove any ambiguity to reduce perceived value. Ultimately, our goal for our client is to raise the inherent value as much as possible.

Caliber helps its clients focus on the unique attributes of their business model and how they can be complementary and accretive to potential acquirers. Caliber works to identify these areas of value and identify potential targets.

Investment Opportunity Sourcing

Caliber designs and executes marketing programs for Lenders and PE Funds looking for specific transactions.

Caliber will construct a calling, email, or snail mail program to locate customer opportunities for institutional clients.

This is largely an “Old School” process of compiling targeted information, creating lists, and calling or connecting via email with potential opportunities.

Caliber provides this service for a negotiated fee and more importantly for relationship building.

Advisory Services

Caliber provides a series of services related to quantitative and qualitative evaluations of a client's business model.

Caliber provides industry and sector research to assist clients in their evaluation of strategic options. Caliber uses industry and academic sources as well as contacting competitors (on a no name basis) to acquire their perspective.

Caliber designs and develops complex excel financial models and projections, which are driven by Caliber client assumptions. Accordingly, these models are always driven by client directions.

We work with the client using historical financials to identify performance drivers and then use these metric assumptions for go forward operations. These models usually have variable components that allows the client to “what if” differing scenarios.

These models can construct a perspective of what may happen in the near term and offer insight on what the longer term may resemble.

Behind all services is a backbone of evaluating the business from a competitive and viability perspective. Identifying strengths and weaknesses and offering insight into solution-oriented opportunities.
